Africa Geek Circle Network, Inc., a Delaware, US corporation, is the parent company of Africa Geek Circle Network Ltd, Nigeria, which operates the Seed platform in Nigeria. Seed is not a venture capital firm, investment company, broker-dealer, investment adviser, crowdfunding intermediary, securities exchange or fundraising manager. Seed does not provide investment advice, solicit or receive investments, manage investment portfolios, process fundraising transactions, hold investor funds, execute securities transactions, allocate equity or raise capital on behalf of startups.
Startup profiles, fundraising targets, traction data, financial information, company documents and other materials available through Seed are provided primarily by the relevant founders, startups or authorised representatives for startup discovery, visibility, networking, evaluation and other legitimate purposes described in our Terms of Use. Certain non-public founder information may be made available only to authorised users or through restricted Platform features. Nothing on Seed constitutes an offer, solicitation, recommendation, endorsement or invitation by Seed to buy, sell or subscribe for any security, investment or financial product. The publication of a startup profile, verification status or badge, featured placement, bookmark feature, document-access feature or Contact Founder option does not constitute an endorsement, certification or investment recommendation by Seed or any Africa Geek Circle Network entity.
Seed does not guarantee the accuracy, completeness, currency or reliability of founder- or startup-provided information, including valuations, ownership information, cap tables, financial models, projections, traction, company registration documents or fundraising targets. Investors and other interested parties are responsible for conducting their own independent legal, financial, commercial and technical due diligence and obtaining appropriate professional advice before making any investment, partnership or other commercial decision.
Seed may facilitate discovery, introductions, expressions of interest, document requests and communications between users. Unless expressly agreed otherwise in writing, Seed and the Africa Geek Circle Network entities are not parties to negotiations, investments, partnerships, agreements, payments or transactions entered into between users and do not guarantee that a startup will raise capital, that an investor will make an investment or that any user will receive a particular commercial or financial outcome.
